GMD: Plan for stock issuance to existing shareholders The Board resolution dated June 21, 2022, the BOD of Gemadept Corporation approved the following issues:
- Approved the plan to issue shares to existing shareholders:
- Stock name: Gemadept Corporation
- Stock type: common share
- Par value: VND10,000/share
- Charter capital before the issuance: VND 3,013,779,570,000
- Number of shares expected to be issued: 100,459,319 shares
- Total value of issuance (at par value): VND 1,004,593,190,000
- Issue price: VND 20,000/share
- Expected charter capital after the issuance: VND 4,018,372,760,000
- Exercise ratio: 90:30 (Those who own 01 share will receive 01 right, and with every 90 rights will be entitled to purchase 30 new shares).
- Plan to deal with fractional shares and unsold shares: The distributed shares will be rounded down to units, the fractional shares (if any) will be distributed as according to regulation. The unsold shares (if any) will be decided by the Board of Directors to distribute to other investors with the selling price is not less than the offering price. These shares will be restricted in 01 year from the ending date of the offering.
- For example: At the record date, the shareholder A owns 103 shares. With performing ratio 90:30 (3:1), the shareholder A will purchase: 103*30/90 = 34.3 shares. According to rounding policy, the shareholder A will purchase 34 new shares.
- Time of implementation: expected in 2022, after being approved by the State Securities Commission of Vietnam (SSC).
- Plan for using capital after the offering: total proceeds of VND 2,009,186,380,000 from the offering will be used for the Company’s business and production activities. HOSE
