Fecon Corporation announces the Board resolution dated February 10, 2022 with the following contents:

1. Approving the purchase of shares in the addtional issuance to raise charter capital of Fecon Piling and Construction Joint Stock Company:

-          Owning volume before the additional purchase: 3,598,000 shares, equivalent to 99.94% charter capital of Fecon Piling and Construction Joint Stock Company

-          Additional purchase volume: 3,975,750 shares

-          Purchase price: VND10,000/share

-          Number, ownership ratio of shares after the additional purchase (estimated): 7,573,750 shares, equivalent to 93.50% charetr capital of Fecon Piling and Construction Joint Stock Company.

1. Approving the transfer of shares from Fecon Piling Construction No 1 Joint Stock Company (FCPL1) and Fecon Deep Basement and Bored Pile Joint Stock Company (FDB) to Fecon Piling and Construction Joint Stock Company (FPL):

-          Transfer volume from FCPL1: 1,798,000 shares

• Par value: VND10,000/share
• Transfer price: VND10,000/share

-          Transfer volume from FDB: 1,798,000 shares

• Par value: VND10,000/share
• Transfer price: VND10,000/share.
