PNC: Resolution of Annual General Meeting 2021

Phuong Nam Cultural Joint Stock Corporation announces the resolution of Annual General Meeting 2021 dated December 14, 2021 as follows:

Article 1: Approving the report of the Board of Directors regarding business performance in 2020 and plan for 2021:

 - Total revenue: expected VND410.9 billion

- Profit before tax: expected VND017.1billion.

Article 2: Approving the report of the Board of Supervisors in 2020.

Article 3: Approving the 2020 audited financial statements.

Article 4: Approving the profit distribution in 2020.

Article 5: Approving the remuneration of Board of Directors and Board of Supervisors in 2021:

 1. Remuneration of Board of Directors and Board of Supervisors:

- Remuneration of Chairman of Board of Directors: VND5,000,000/month

- Remuneration of members of Board of Directors: VND5,000,000/month

 - Remuneration of Head of Board of Supervisors: VND5,000,000/month

- Remuneration of members of Board of Supervisors: VND3,000,000/month

 2. Bonus of Board of Directors and Board of Supervisors:

- 1% on profit after tax if achieving the profit target;

- 1% on profit after tax and 10% on the exceeded profit if exceeding the profit target.

Article 6: Approving to choose an independent audit company for PNC in 2021 from 03 companies: A&C; RSM Vietnam, AISC.

Article 7: Approving the amendment and supplement of the Company’s charter.

Article 8: This resolution shall take effect from December 14, 2021.
