NHT: Amending, supplementing the plan for stock issuance to pay dividend for 2020 The Board resolution dated November 12, 2021, the BOD of Nam Hoa Trading & Production Corporation the following contents:
1) Approving to amend, supplement the plan for stock issuance to pay final dividend for 2020:
- Stock name: Nam Hoa Trading & Production Corporation
- Stock type: common share
- Par value: 10,000 dongs
- Number of shares issued: 15,411,541 shares
- Number of outstanding shares: 15,387,070 shares
- Number of treasury shares: 24,471 shares
- Number of shares expected to be issued: 3,077,414 shares
- Total value of issuance (at par value): 30,774,140,000 dongs
- Exercise ratio: 20%/share (Those who own 100 shares will receive 20 new shares).
- Plan to deal with fractional shares: The distributed shares will not be rounded down to units, the fractional shares (if any) will be cancelled.
- For example: at the record date, shareholder A owned 102 shares. With 20% performing ratio, the shareholder A will receive: 102 *20/100 =20.4 shares. According to rounding policy, the shareholder A receives 20 new shares and fractional shares of 0.4 will be cancelled.
- Time of implementation: Quarter IV/2021 or Quarter I/2022, after being approved by the State Securities Commission of Vietnam (SSC).
2) Approving the plan for using the proceeds from the issuance to supplement capital for business activities.
3) Approving to register to deposit at the Vietnam Securities Depository (VSD) and list on th Hochiminh Stock Exchange (HOSE) for new shares.
4) Approving to change its charter capital and adjust the Business Registration Certificate. HOSE
