GDT: BOD resolution dated August 26, 2021 The Board resolution dated August 26, 2021, the Board of Directors of Duc Thanh Wood Processing Joint Stock Company with the following issues:
1) Approved the implementation to pay final cash dividend for 2020:
- Exercise ratio: 20% (2,000 dongs/share)
- Payment time: expected in September 2021.
2) Approved the implementation to plan the stock issuance to raise capital from the owner’s equity:
- Stock name: Duc Thanh Wood Processing Joint Stock Company
- Stock type: common share
- Par value: VND10,000/share
- Purpose: to increase capital from the onwer’s equity.
- Charter capital before the issuance: VND179,803,580,000
- Number of treasury shares: 269,160 shares
- Number of outstanding shares: 17,711,198 shares
- Exercise ratio: 10% (10:1) (Those own 1 shares will receive 01 new share).
- Expected issuance volume: 1,771,119 shares
- Tota value of issuance (estimated): VND17,711,190,000
- Number of outastanding shares after the issuance: 19,482,317 shares
- Time of implementation: expected in April 202, after being approved by the State Securities Commission of Vietnam (SSC)
- Plan to deal with fractional shares: The distributed shares will be rounded down to units, the fractional shares (if any) will be cancelled.
- For example: at the record date, shareholder A owns 206 shares. With 10% performing ratio, the shareholder A will receive: 206 *100/10 =20.6 shares. According to rounding policy, the shareholder A will receive 20 new shares and fractional shares of 0.6 will be cancelled.
3) Approved the capital loan at Vietnam Wooribank - Saigon branch with total amount of VND80,000,000,000. HOSE
