IMP: BOD resolution dated April 02, 2021

The Board resolution dated April 06, 2021, the BOD of Imexpharm Corporation approved the supplement of the contents of Annual General Meeting 2021 to submit to the General Meeting of Shareholders to approve a waiver of a public tender offer for shareholders of SK Investment Vina III Pte. Ltd. Details are as follows:

-          Transferor (estimated): VOF Investment Limited and Vietnam Ventures Limited

-          Transferee (estimated): SK Investment Vina III Pte. Ltd. (is existing shareholder of Imexpharm)

-          Ownership ratio of the transferee before trading: 24.02%

-          Ownership ratio of the transferors before trading: 5.18%

-          Ownership ratio of the transferee after trading (estimated): 29.20%

-          Time of implementation: after being approved by the General Meeting of Shareholders and agreement between related parties.

-          After SK Investment Vina III Pte. Ltd successfully implemented the transfer as above. The ownership ratio limit of foreign investors and shareholders in Imexpharm remains unchanged at 49% /charter capital.
