KIS: Resolution of General Meeting of Shareholders KIS Vietnam Securities Corporation announces the Resolution of General Meeting of Shareholders dated March 13, 2020 as follows:
- Approving the resignation letter from Mr. Lee Seung Hyun and Han Joon Ho as member of BOD.
- Approving the additional election of Mr. Mun Seong Pil and Lee Chul Ho as member of BOD for the period 2018 – 2022.
- Approving the resignation letter from Mr. Cho Hun Hee as member of Supervisory Board.
- Approving the additional election of Mr. Cha Hun Do as member of Supervisory Board for the period 2018 – 2022.
- Approving the plan to issue shares to raise charter capital in 2020:
- Stock name: KIS Vietnam Securities Corporation
- Stock type: common share
- Par value: VND 10,000/share
- Number of outstanding shares: 189,701,100 shares
- Number of shares expected to be issued: 70,189,407 shares
- Issue ratio: 100:37 (shareholder who owns 100 shares will receive 01 right, and with every 01 right will be entitled to purchase 37 new shares.)
- How to deal with fractional shares: The number of newly issued shares bought by each existing shareholder will be rounded down. The fractional shares and the shares refused to buy (if any) will be cancelled.
- For example: At the record date, the shareholder A owns 130 shares. With 100:37 performing ratio, the shareholder A will purchase: 130 * 37% = 48.1 shares. According to rounding policy, the shareholder A purchases 48 new shares.
- The rights should be transferred only once.
- Distribution time: expected within 30 days after being approved by the State Securities Commission of Vietnam (SSC)
- Expected offering price: VND 10,000/share
- Expected mobilized capital: VND 701,894,070,000. HOSE
