VIC: Resolution of General Meeting of Shareholders

  VINGROUP Joint Stock Company announces the resolution of General Meeting of Shareholders dated March 25, 2019 as follows:

1. Approving the plan for the private placement in 2019:

-       Stock name: VINGROUP Joint Stock Company

-       Stock type: common share

-       Par value: VND10,000/share

-       Offering volume: 250,000,000 shares

-       Total value (based on par value): VND2,500,000,000,000

-       Offering price: over 100,000 dongs/share

-       Time of implementation: 2019

-       These shares will be restricted in 01 year from the issue date

-       Plan for use of capital: Total proceeds from the offering will be used for the following purposes:

+ To invest and contribute capital in subsidiaries: VND6,000 billion;

+ To liquidated the principal and interest debts of due loans: VND10,000 billion;

+ To supplement working capital for business activities: VND9,000 billion.

2. Approving to register to deposit at the Vietnam Securities Depository (VSD) and list on the Hochiminh Stock Exchange (HOSE) for the new shares of the private placement.
3. Approving to amend the company’s charter regarding new charter capital.
4. Approving to increase its charter capital from the private placement.
