CRE: Board resolution on the plan for stock issuance On January 16, 2019, the Board of Directors of Century Land Joint Stock Company approved the plan for stock issuance to pay dividend for 2018 and to raise capital from the owner’s equity as follows:
- Stock type: common share
- Par value: VND10,000/share
- Number of shares expected to be issued: 30,000,000 shares
- Total value (based on par value): VND300,000,000,000
- Exercise ratio:
+ Stock issuance to pay dividend for 2018: 100:15 (Shareholders are entitled to have 15 new shares for every 100 shares owned.)
- For example: At the record date, shareholder A owned 568 shares. With 15% performing ratio, the shareholder A will receive: 568 * 15/100 = 85.2 shares. According to rounding policy, the shareholder A receives 85 new shares. The fractional shares of 0.2 will be bought with the price of VND10,000/share (equivalent to 2,000 dongs).
+ Stock issuance to raise charter capital from the owner’s equity: 100:45 (Shareholders are entitled to have 45 new shares for every 100 shares owned.)
- For example: At the record date, shareholder A owned 568 shares. With 45% performing ratio, the shareholder A will receive: 568 * 45/100 = 255.6 shares. According to rounding policy, the shareholder A receives 255 new shares. The fractional shares of 0.6 will be bought with the price of VND10,000/share (equivalent to 6,000 dongs).
