DXG: Board resolution on restructuring According to Board Resolution No.13 dated May 31, 2018, the Board of Directors of Dat Xanh Group Joint Stock Company (DXG) approved the following issues:
1) The Board of Directors approved to restructure the real estate services business of the Group:
- To transfer the real estate services business to the Group’s subsidiary Dat Xanh Real Estate Service Joint Stock Company (99.99% owned by Dat Xanh Group Joint Stock Company).
2) The Board of Directors approved to contribute capital to purchase shares in the stock issuance to raise funds of Dat Xanh Real Estate Service Joint Stock Company:
- Maximum bidding volume: 10,000,000 shares
- Bidding price: 10,000 dongs/share
- Total bidding value: 1,000,000,000,000 dongs
- Stock type: common stock
3) The Board of Directors approved to transfer the entire stake of DXG at subsidiaries to Dat Xanh Real Estate Service Joint Stock Company:
- To transfer 7,884,600 shares owned by DXG at Dat Xanh Mien Nam.
- To transfer 19,660,500 shares owned by DXG at Dat Xanh Mien Bac.
- To transfer 23,149,500 shares owned by DXG at Dat Xanh Mien Trung.
- To transfer 3,302,250 shares owned by DXG at Dat Xanh Dong Nam Bo.
- To transfer 204,000 shares owned by DXG at Dat Xanh Tay Nam Bo.
