GDW: General Mandate 2018
On 17 Apr 2018, Gia Dinh Water supply Joint Stock Company announced the General Mandate 2018 as follows:
1. Approve operation results of 2017 including audited financial statement
2. Approve indicators in 2018 of Gia Dinh Water supply Joint Stock Company: Water sales: 51 million m3; Revenue: 482.424 billion dongs and profit before tax: 17.211 billion dongs
3. Approve report 2017 of Board of Directors of Gia Dinh Water supply Joint Stock Company
4. Approve report 2017 of Supervisory Board on operation results of 2017
5. Approve plan on profit distribution 2017 based on Statement No. 029/ TTr – General Director – HDQT dated 12 Apr 2018 of Board of Directors
- Dividend payment 9%o par value: VND 8,550,000,000
- Reward Fund: VND 3,200,000,000
- Reward Fund to managers: VND 347,875,488
- Welfare Fund: VND 452,124,512
6. Approve remuneration for Board of Directors, Supervisory Board
- Member of Board of Directors: VND 5,000,000/ person/ month
- Member of Supervisory Board: VND 3,000,000/ person/ month
7. Approve dismissing Mr. Nguyen Ngoc Hung from position of member of Board of Directors
8. Appointing Mr. Nguyen Van Dang – capital representative of 12.8% of charter capital of shareholders of Saigon Water Corporation – One Member Co., Ltd as member of Board of Directors for tem of 2017 – 2022
9. Approve amended and supplemented Charter of the Company
10. Approve internal corporate governance regulation of the Company
Assigning Board of Directors, Director of the Company to carry out Decisions of the annual General Meeting of Shareholders in this General Mandate
