CTR: Official letter on asking permission for extension of holding date of Annual General Meeting of Shareholders 2018


On 17 April 2018, Viettel Construction Joint Stock Company disclosed the official letter on asking permission for extension of holding date of Annual General Meeting of Shareholders 2018 as follows:

Pursuant to the Law on Enterprises No. 68/2014/QH13 dated November 26th, 2014;
Pursuant to the Charter of Viettel Construction Joint Stock Company;
Viettel Construction Joint Stock Company is a large-scale public company. The Company registered transaction on UPCOM platform directly under Hanoi Stock Exchange with stock code of CTR. The Company operates under the Business Registration Certificate No. 0104753865 issued for the 7th changed on August 18th, 2017 by Business Registration Division, Hanoi Department of Planning and Investment.
According to the regulations at Clause 2 Article 136 of Law on Enterprises No. 68/2014/QH13 dated November 26th, 2014, General Meeting of Shareholders must have the annual meeting within 4 months from the ending date of fiscal year. According to the proposal of Board of Directors, the Business Registration Division may extend, but not exceed 6 months from the ending date of fiscal year.
The Company has closed the list of shareholders to exercise their right to attend the Annual General Meeting of Shareholders 2018 with the record date as April 4th, 2018. However, according to the list of the Company’s shareholders provided by Vietnam Securities Depository, the number of shareholders of the Company is great; their residence address is spread all over the country and there are some foreign shareholders. Therefore, Viettel Construction Joint Stock Company need to take more time to prepare more carefully (print documents, prepare the hall and so on) as regulations of current law and the Company’s Charter;
By this letter, Viettel Construction Joint Stock Company would like to propose the Business Registration Division, Hanoi Department of Planning and Investment to consider and approve for Viettel Construction Joint Stock Company to extend the holding date of Annual General Meeting of Shareholders 2018 in accordance with regulations at Clause 2 Article 136 of Law on Enterprises No. 68/2014/QH13 dated November 26th, 2014. The Company expects to hold the annual Meeting of Shareholders 2018 in May, 2018.
