SBV: Resolution of Extraordinary General Meeting 2017 Siam Brothers Vietnam Joint Stock Company announces the Resolution of Extraordinary General Meeting 2017 dated October 04, 2017 as follows:
1) To approve the election of additional member to the Board of Directors.
2) To approve the transfer of authority of Siam Plastic Plant No.4 Project to Siam Brothers Vietnam Branch No.3.
3) To approve the change of the Certificate of Investment of Siam Brothers Vietnam Joint Stock Company to the Certificate of Investment Registration.
4) To approve the document on the first dividend payment for 2017:
- Cash dividend rate: 1,500 dongs/share
- Stock dividend rate: 3:1 (Those who own 03 shares will receive 01 bonus share.)
- The plan for stock issue to raise the charter capital from the owner’s equity.
- To authorize the Board of Directors to decide and complete procedure for the first dividend payment for 2017.
5) To approve the document on agreement with Nghia Thai Trading Co., Ltd.
- The transactions between Siam Brothers Vietnam Joint Stock Company and the sale branches for Nghia Thai Trading Co., Ltd. and companies related to Mr. Huynh Van Ty in 2017 have the total value of over 35% of the total assets recorded in the 2016 audited financial statements of Siam Brothers Vietnam Joint Stock Company.
6) To approve the distribution to the bonus and welfare fund.
- Bonus and welfare fund: not more than 5% of profit after tax.
7) To approve to elect Ms. Ngo Tu Dong Khanh as an additional member of the Board of Directors in Term 2016 – 2020. HOSE
