RESOLUTION OF THE BOARD OF MANAGEMENT
OF VINGROUP JOINT STOCK COMPANY
(Re: Disclosure regarding the cancellation of the demerger of VinEco Agricultural Investment Development and Production LLC)
THE BOARD OF MANAGEMENT (“BOM”)
- Pursuant to the Vietnamese Enterprise Law;
- Pursuant to the Charter of Vingroup Joint Stock Company (“Vingroup”);
- Pursuant to the functions, duties and powers of the Chairman of the Board;
- Pursuant to the Resolution No. 73/2015/NQ-HDQT-VINGROUP dated 30 November 2015 to approve a demerger of VinEco Agricultural Investment Development and Production LLC., a subsidiary in which Vingroup owns 70% of charter capital, to establish another company - Southern VinEco Agricultural Investment Development and Production LLC;
- After further review and consideration.
RESOLVES THAT:
Article 1: The Board approves the suspension of the plan to demerge VinEco Agricultural Investment Development and Production LLC to establish another company - Southern VinEco Agricultural Investment Development and Production LLC as has been approved in the Resolution No. 73/2015/NQ-HDQT-VINGROUP dated 30 November 2015 by the Board.
Article 2: Effective date
This Resolution is effective on the date of signing.
The Executive Committee and relevant departments are responsible for implementation.
