Articles 1: Approving to appoint Mr. Hoang Xuan Hung is CEO cum Chairman of BoD and legal representative of VNCS, effective from December 31, 2016.

 Articles 2: Approving to offer of private placement & plan for use of capital from the stock offering.

 Articles 3: This Resolution will be effective from December 20, 2016.
