IMP: Board Resolution No.27 Imexpharm Corporation announces Board Resolution No.27 dated April 15, 2017 as follows:
1. The Board of Directors approved to pay 18% dividend for 2016. Of which, 8% will paid in cash and 10% in stock.
2. The Board of Directors approved to implement the plan for issuing additional shares to pay dividend for 2016:
- Number of shares expected to be issued: 3,906,213 shares (10% of the number of outstanding shares)
- Exercise ratio: 10:1 (Those who own 10 shares on the record date will receive 01 new share.)
- The number of shares distributed to each shareholder will be rounded. The fractional share (if any) will be cancelled.
- Number of listed shares after issuance: 42,978,652 shares
- Issue date: Quarter 2-3/2017.
- The new shares will be listed on Hochiminh Stock Exchange and deposited at Vietnam Securities Depository.
3. The Board of Directors approved to assign Mr. Nguyen Quoc Dinh, Board Chairman cum Deputy CEO of Imexpharm, to replace Ms. Tran Thi Dao, Board Chairwoman cum CEO of Imexpharm, as the representative of Imexpharm at S.PHARM Pharmaceutical Joint Stock Company (S.Pharm).
4. The Board of Directors approved to assign Mr. Nguyen Pham Minh Tuan, Head of Internal Supervisory Board of Imexpharm, to replace Mr. Duong Hoang Vu, Deputy Manager of Accounting Department of Imexpharm, as the representative of Imexpharm in the Supervisory Board at S.PHARM Pharmaceutical Joint Stock Company (S.Pharm).
