The Board of Directors of Development Investment Construction Joint Stock Corporation (DIC Corp) approved a plan for exchanging the shares owned by DIC Corp at DIC Sport for the shares owned by Thien Tan at DIC Materials and DIC Micen.
1) Exchange ratio and volume:
- Exchange ratio of DIC Materials’ shares to DIC Sport’s shares: 0.5888 (01 DIC Materials’ share will be exchanged for 0.5888 DIC Sport’s share; or 01 DIC Sport’s share will be exchanged for 1.6982 DIC Materials’ shares). Therefore, 140,000 DIC Materials’ shares will be exchanged for 82,428.59 DIC Sport’s shares.
- Exchange ratio of DIC Micen’s shares to DIC Sport’s shares: 0.4330 (01 DIC Micen’s share will be exchanged for 0.4330 DIC Sport’s share; or 01 DIC Sport’s share will be exchanged for 2.3094 DIC Micen’s shares). Therefore, 130,000 DIC Materials’ shares will be exchanged for 56,284.31 DIC Sport’s shares.
- The total volume of DIC Sport’s shares owned by DIC Corp and exchanged for 140,000 DIC Materials’ shares and 130,000 DIC Materials’ shares will be: 138,713 shares.
