DCL: Resolution of 2017 Annual General Meeting Cuu Long Pharmaceutical Joint Stock Corporation announced the resolution of 2017 AGM as below:
Article 1: Approving reports of the BOD on business activities in 2016 and 2017 activities plan.
Article 2: Approving 2016 reports and 2017 plans of Management Board.
Article 3: Approving 2016 consolidated financial statements
- Net revenue: VND737,805,983,065
- Profit after tax: VND90,148,739,540
Article 4: Approving distribution profit in 2016:
- Profit after tax: VND90,148,739,540
- Bonus & welfare fund: VND2,000,000,000
- Retained earnings: VND88,148,739,540
Article 5: Approving reports of the Supervisor Board on activities in 2016 and plan for 2017.
Article 6: Choosing VACO as an auditing company for fiscal year 2017.
Article 7: Approving to add business line.
Article 8: Approving to Chairman of the BOD cum the CEO.
Article 9: Approving the 2017 business plan:
- Net revenue: VND914,000,000,000
- Gross profit: VND358,000,000,000
- Profit after tax: VND96,000,000,000
Article 10: Approving the 2016 & 2017 remuneration for the BOD and the Board of Supervisors.
Article 11: Approving of increasing DCL capital ownership for F.I.T Group Joint Stock Company (stock code: FIT) as follows:
- F.I.T Group Joint Stock Company is allowed to own DCL to 80% common shares by buying shares of existing shareholders.
- DCL charter capital is VND563,328,240,000 and maximum shares owned by F.I.T Group Joint Stock Company is 45,066,259 shares. If DCL is increased charter capital, F.I.T Group Joint Stock Company will own more shares on 80% shares of DCL.
Article 12: Authorizing the BOD to implement some works.
Article 13: Approving ESOP plan with details:
- Planned issued volume: 500,000 shares
- Transfer restriction: 01 year.
- Par value: 10,000 dongs / shares
- Planned issued value: 10,000 dongs / shares
- Objects: managers at parent company, branched and members.
- Assigning the BOD to implement this.
Article 14: Approving resignation of Mr. Hoang Thanh Hai, a member of the Supervisor Board.
Article 15: Approving members appointed into the BOD and Supervisor Board for term 2017-2022.

- Ms. Nguyen Thi Minh Nguyet – Deputy Chairman of the BOD
