DAG: Notice of written resolution Dong A Plastic Group Joint – Stock Company announced the written resolution of the 2015 general meeting of shareholders in the form of seeking shareholders’ approval in writing:
Article 1: To approve the amendment of articles and provision of the agreement of convertible bonds 2012.
Article 2: To approve to raise the charter capital, issue and list additional shares which are converted from bonds on the Hochiminh Stock Exchange and deposit them at the Vietnam Securities Depository.
Plan for issuing convertible shares on the conversion date: The General Meeting approved to allow the Company to issue convertible shares to the bondholders through a private placement to under 100 investors:
- Type of stock issued: common stock
- Par value: VND10,000/share
- Issue date: expected within December 25, 2015 to December 25, 2017 or the ending date of the extended investment period.
- Total maximum value of the bonds to be converted: VND53,500,000,000
- Conversion price: VND10,608/share HOSE
