SDU: General Mandate 2016 On 27 May
2016, Song Da Urban Investment Construction and Development Joint Stock Company
announced the General Mandate 2016 as follows:
Article 1: Annual General Meeting of
Shareholders approved the operation report of 2015 and operation plan for 2016
as follows:

production value: VND 441.575 billion dongs, equivalent to 101% of the year
plan
- Revenue:
75.946 billion dongs, equivalent to 104.7% of the year plan
- Contribute
to the State’s budget: 19.217 billion dongs, equivalent to 141.7%
- Profit:
9.217 billion dongs, equivalent to 226.1% of the year plan
- Dividend
payment (earnings per share): VND 48

Directors and operation plan of Board of Directors in 2016

Annual General Meeting of Shareholders approved the operation report 2015 of
Supervisory Board and operation plan of Supervisory Board in 2016
Article 8:
Annual General Meeting of Shareholders approved the amended Charter in line
with Corporate Law 2014
Conclusion:
Annual General Meeting of Shareholders 2016 approved the draft of amended
Charter in line with Corporate Law 2014
Article 9:
Approve the dismissal of Mr. Le Tung Hoa – member of Board of Directors
Conclusion:
Annual General Meeting of Shareholders 2016 approved the dismissal of Mr. Le
Tung Hoa – member of Board of Directors since 31 Mar 2016
Article 10:
Approve the election of Mr. Pham Duc Thanh – Legal Director of Song Da
Corporation to the position of member of Board of Directors as recommended by
shareholders of Song Da Corporation (to replace Mr. Le Tung Hoa)
Conclusion:
Mr. Pham Duc Thanh was appointed to Board of Directors by annual General
Meeting of Shareholders 2016 for the remaining term of 2012 – 2017 since 01 Apr
2016
Article 11:
This General Mandate was approved by annual General Meeting of Shareholders of
Song Da Urban Investment Construction and Development Joint Stock Company
Article 12:
Members of Board of Directors, Supervisory Board; General Mandate, Deputy
Directors, Directors of units directly under; Capital representative of the
Company at associate companies, Heads of Departments and related units and
individuals take responsibility for performing the General Mandate.
