PHR: Resolution of Annual General Meeting 2015 Phuoc Hoa Rubber Joint Stock Company announced the Resolution of Annual General Meeting 2015 as follows:
Article 1: The Meeting approved business results in 2014:
- Exploitation output: 19,186.81 ton of dried latex
- Purchasing output: 12,196.18 ton of dried latex
- Consumption: 34,177.77 tons
- Average selling price: 38.53 million dongs/ton
- Total revenue of the parent company: 1,641.93 billion dongs.
- Total consolidated revenue : 1,841.40 billion dongs.
- Profit after tax of the parent company: 271.37 billion dongs
- Consolidated profit after tax: 263.85 billion dongs
Article 2: The Meeting approved profit distribution in 2014 as follows:
- Investment and development fund: 20% profit after tax (or 54.27 billion dongs)
- Bonus and welfare fund: 20% profit after tax (or 54.27 billion dongs)
- Dividend by cash :20%/par value (or 156.98 billion dongs)
Article 3: The Meeting approved plan of production, investment, profit distribution and dividend payment in 2015:
- Exploitation output: 17,600 ton of dried latex
- Productivity of tree garden: 1.86 ton/hectare
- Purchasing output: 12,000 ton of dried latex
- Consumption: 29,600 tons
- Selling price: 31.50 million dongs/ton.
- Total revenue: 1,116.25 billion dongs
- Profit before tax: 144.52 billion dongs
- Profit after tax: 115.65 billion dongs
- Distribution of funds:
+ Investment and development fund: 20%
+ Bonus and welfare fund: 20%
- Dividend: 20%/par value
- Long–term investment: 154.89 billion dongs.
Article 4: The AGM approved the audited financial statements in fiscal year 2014.
- Total assets: VND3,428,830,145,127
- Total liabilities: VND1,129,528,286,290
- Total owner’s equity: VND2,253,082,105,572
- Interest of minority shareholders: VND46,219,753,265
Article 5: The Meeting approved report of the Board of Supervisors on operation in 2014;
Article 6: The Meeting approved remuneration, bonus and activities expenses of the Board of Directors, the Board of Supervisors in 2014: 0.3% profit after tax (VND814,116,340) and the AGM approved remuneration, bonus and activities expense of the Board of Directors, the Board of Supervisors in 2015: 0.3%.
Article 7:The Meeting authorized the Board of Directors to choose one of the following firms to be the auditing company for PHR in 2015: AVA, AASC, Deloitte Vietnam, and Eastern Asia Auditing Company Limited.
Article 8: The Meeting approved to amend the company’s regulation
Article 9: The Meeting approved to elect another member of the Supervisory Board in the term 2013-2018.
