KDH: Announcement of Written Resolution _ Jan 05

Khang Dien House Trading and Investment Joint Stock Company (KHADIHOUSE JSC) announced the written resolution dated January 05, 2015 after seeking shareholders’ approval in writing:

Article 1: Approving a private placement of 48,480,000 shares to institutional investors.

Article 2: Approving an ESOP of 2,520,000 shares.

Article 3: Approving a plan for the use of proceeds from the issuance.

Article 4: Approving the capital increase and the amendment of company charter regarding the charter capital based on the result of issuance.

Article 5: Approving to register for additional deposit and listing of new shares.

Article 6: Approving to authorize the Board of Directors to implement plans.

Article 7: This resolution takes effect from the date of signing.
