TCO: Board resolution on a private placement

On July 31, 2014, the Board of Directors of Duyen Hai Multi Modal Transport Joint Stock Company approved the resolution on a private placement as follows:

Article 1: Approving the plan for private placement to strategic shareholder – Mr. Nguyen Thanh Le with offering price at VND12,000/share

Article 2: Approving the plan to use the proceeds from the offering: Total proceeds, about VND15,600,000,000, will be used to buy back capital of Mr. Nguyen Thanh Le in Minh Thanh Container Co. Ltd with purpose raising it owners’ capital from VND18,200,000,000 to VND23,976,000,000 or 99.9% of Charter Capital of Minh Thanh Container Co. Ltd.

Article 3: Implementing the information disclosure about a private placement to strategic shareholder in accordance with regulation of Law.

Article 4: This resolution takes effect from July 31, 2014.
