Song Da Urban & Industrial Zone Investment and Development Joint Stock Company announced the resolution of the annual general meeting of shareholders 2014 dated April 24, 2014 as follows:

2. Report of the Board of Supervisors
3. Report on business result in 2013 and business plan for 2014.

3.1  Business targets 2013:

-          SUDICO:

+    Total business value: VND743 billion, increasing 141% compared to the 2012

+    Total investment value: VND55 billion

+    Revenue: VND596 billion, increasing 1224% compared to the 2012

+    Profit: VND82.9 billion, reaching 104% compared to the 2012

-          SUDICO’s Cooperation:

+    Total business value: VND798 billion, increasing 74% compared to the 2012

+    Total investment value: VND52 billion

+    Revenue: VND636 billion, increasing 978% compared to the 2012

+    Profit: VND75 billion, reaching 107% compared to the 2012

3.2  Business targets 2014:

-          SUDICO:

+    Total investment value: VND200 billion

+    Business activity: VND968 billion

+    Revenue: VND870 billion

+    Profit:  VND150 billion

-          SUDICO’s Cooperation:

+    Total investment value: VND230 billion

+    Business activity: VND1,053 billion

+    Revenue: VND911 billion

+    Profit:  VND130 billion

-          The company does not pay 2013 dividend

-           2014 dividend plan:

+    Dividend ratio: 10%-15% from legal resource of SUDICO

+    Payment method: by cash or transfer

6. Remuneration of the Board of Directors, the Board of Supervisors in 2013 and payment plan for 2014:

6.1  Remuneration of the Board of Directors and the Board of Supervisors in 2013: VND720 million

-          The Board of Directors: VND504 million

-          The Board of Supervisors: VND216 million

6.2  Remuneration of the Board of Directors and the Board of Supervisors in 2014:

-          BOD Chairperson: VND10 million/month

-          A member of the Board of Directors: VND8 million/month

-          Head of the Board of Supervisors: VND8 million/month

-          A member of the Board of Supervisors: VND5 million

7. Authorizing the BOD to choose an auditing firm for fiscal year 2014.
8. Report of the Board of Supervisors in 2012.
