PDR: Resolution of the 2014 Annual General Meeting

Phat Dat Real Estate Development Corp announced the resolution of the 2013 Annual General Meeting on April 12, 2014:

Article 1: AGM approved the report of the Board of Directors in 2013 and plan for 2014; report of the Board of Management in 2013 and plan for 2014; report of the Board of Supervisors in 2013.

Article 2: AGM approved the audited financial statements in 2013 and profit distribution plan in 2013:

1. Business result in 2013:

-          Revenue: VND39.618 billion

-          Profit before tax: VND3.864 billion

-          Profit after tax:  VND2.341 billion

2. Profit after tax will be added to business capital and accumulate to profit after tax of the next year.

Article 3: AGM approved the business plan for 2014:

Ø  Business plan for 2014:

-          Revenue from selling and service supply: VND356.900 billion

-          Profit before tax: VND50.410billion

Ø  Adjusting the business plan in 2014:

Article 4: AGM authorized the Board of Supervisors to choose an independent auditing company to audit financial statements in 2014.

Article 5: AGM approved the plan of profit distribution and remuneration and bonus of the Board of Directors, the Board of Supervisors in 2014:

1. Profit before tax: VND50.410 billion
2. Profit after tax:  VND39.320 billion
3. Profit distribution plan:

Estimated profit after tax by VND39.320  billion will be supplemented to business capital and will be accumulated to profit after of the next year.

4. Remuneration of the Board of Directors, the Board of Supervisors, the company’s Secretary: VND882,000,000/year.

Article 6: AGM approved the BOD Chairman concurrently holds the position of Director General.

Article 7: This resolution takes effect from April 12, 2014.
