BSI: Resolution of AGM 2014

BIDV Securities Joint Stock Company announced the resolution of the 2014 annual general meeting dated March 29, 2014:

Article 1: AGM approved report of the Board of Directors in 2013.

Article 2: AGM approved business result in 2013 and business plan for 2014:

1. Business result in 2013:

-         Revenue: 220,653 million dongs

-         Profit before tax: 15,125 million dongs

-         Brokerage market: 3.11%

-         ROE: 2.18%

2. Business plan for 2014:

-         Revenue: 156,670 million dongs

-         Profit before tax: 25,348 million dongs

-         Brokerage market: 3.0%

Article 3: AGM approved report of the Board of Supervisors in 2013.

Article 4: AGM approved the audited financial statements in fiscal year 2013.

Article 5: AGM approved remuneration of the Board of Directors, the Board of Supervisors.

1. Remuneration of the Board of Directors, the Board of Supervisors in 2013:

-         BOD Chairman: VND 5,000,000/month, VND 60,000,000/year

-         Member of the BOD: VND 3,000,000/month, VND 36,000,000/year

-         Head of the Board of Supervisors: VND 2,500,000/month, VND 30,000,000/year

-         Member of the Board of Supervisors: VND 1,000,000/month, VND 12,000,000/year

-         Total: 174,000,000 dongs/year.

-         Allowances of the Board of Directors, the Board of Supervisors in 2013:

-         The Board of Directors, the Board of Supervisors: 2,000,000 dongs/member/01 meeting

-         Total allowances of the Board of Directors, the Board of Supervisors from January 01, 2013 to December 31, 2013: 66 million dongs.

2. Remuneration of the Board of Directors, the Board of Supervisors in 2014:

-         Remuneration of the Board of Directors was not concurrent:

·         BOD Chairman: VND 5,000,000/month

·         Deputy BOD Chairman: VND 4,000,000/month

·         Member of the BOD: VND 3,000,000/month

·         Head of the Board of Supervisors: VND 2,500,000/month

·         Member of the Board of Supervisors: VND 1,000,000/month

-         Besides, allowances of the Board of Directors, the Board of Supervisors in 2014: 2,000,000 dongs/member/01 meeting.

Article 6: AGM approved to choose an auditing firm for fiscal year 2013 in 04 auditing firm: Earnst & Young Viet Nam, Price Waterhouse Coopers Viet Nam, KPMG Viet Nam, Deloitte Viet Nam.
