GTA: Resolution of Annual General Meeting 2014

Thuan An Wood Processing Joint Stock Company announced the resolution of Annual General Meeting 2014:

1.     The Meeting approved the business results, investment, profit distribution and dividend for 2013 with contents as follows:

-          Producing output:                     50,040 m³

-          Consumption output:                 42,048 m³

-          Total revenue:                           471,395 million dongs

-          Profit before tax:                       15,748 million dongs

-          Profit after tax:              11,711 million dongs

2.     The Meeting approved plan of profit distribution 2013 as follows:

-          Deduction for bonus fund 15.12% profit after tax: VND1,770,904,707

-          Deduction for welfare fund 7.79% profit after tax: VND912,299,451

-          Deduction for bonus fund to the Board Management who finished plan 1.55% profit after tax: VND181,000,000

-          Cash dividend payment 9%/par value: VND8,847,000,000

3.     The Meeting approved plan for 2014:

-          Producing output:                     53,000 m³

-          Consumption output                  44,000 m³

-          Total revenue:                           488,433 million dongs

-          Profit before tax:                       16,505 million dongs

-          Profit after tax:              12,769 million dongs

-          Plan for profit distribution:

·         Dividend payment: 9%/par value: VND8,847 million dongs

·         Deduction for production development fund (profit after tax): VND993.83 million dongs

·         Deduction for bonus fund (14.65% profit after tax): VND1,870.73 million

·         Deduction for bonus fund to the Board Management who finished plan (1.57% profit after tax): VND200 million dongs

-          Investment for capital construction: VND11,000 million

4.     The Meeting approved the 2012 financial statements audited by Viet Nam Auditing and Accounting Consultancy Company (AVA).

5.     The Meeting approved reports of the Board of Supervisors in 2013.

6.     The Meeting approved allowance of the Board of Directors and the Board of Supervisors in 2013 is VND373.5 million. The Meeting approved plan for allowance of the Board of Directors and the Board of Supervisors in 2014 is VND420 million.

7.     The Meeting decided to choose Viet Nam Auditing and Accounting Consultancy Company (AVA) to audit financial statements of GTA in 2014.

8.     This resolution takes effect as from March 18, 2014.
