ADC: Board Resolution

On 28/10/2013, BOD of Art Design and Communication Joint Stock Company announced Board resolution with contents as follows:
Article 1. Approve result of share issue to pay dividend and increase charter capital from owners’ equity
Approve result of issuing 500,000 shares, total issue value in par value was VND 5,000,000,000 according to Issue registration certificate no. 25/GCN-UBCK and State Securities Commission in order to pay dividend and increase charter capital.
Article 2. Increase charter capital of the Company according to task assigned by General meeting of Shareholders
1. Registered charter capital: VND 10,000,000,000
2. Additional charter capital: VND 5,000,000,000
3. Charter capital after the increase: VND 15,000,000,000
4. Method: The Company issues 500,000 shares (common shares) with total issue value in par value of VND 5,000,000,000 in order to pay dividend and increase charter capital from owners’ equity.
