Article 1: AGM approved the 2012 profit distribution and dividend,
and fund distribution

Article 2: AGM approved the
business plan for 2013:

Total revenue: VND660 billion

Profit before tax: VND15.627 billion

Dividend: expected on 6%: VND9,672,000,000

Payment interest of bonds and the 2011+2012 dividend from
July, 2013 to December, 2013.
Article 3: AGM approved
remuneration of the Board of Directors, the Board of Supervisors in 2013 which
will pay the same as 2011: VND 180 million.
Article 4: AGM approved the BOD Chairman concurrently as CEO
Article 5: AGM approved Mr.
Nguyen Van Luong replaced Mr. Dao Xuan Quy as a member of the BOD in the term
from 2010 to 2015.
Article 6: AGM authorized the
Board of Directors to choose AISC auditing firm for fiscal year 2013 and choose an auditing firm for Dakglun hydropower projects in Binh Phuoc.
Article 7: AGM approved to
pay interest of bonds and the 2011+2012 dividend with rate 50%-50%.
Article 8: AGM authorized the
Board of Directors to implement mail projects.
Article 9: AGM approved to amend the Articles of Association.
Article 10: The resolution is valid as from June 29, 2013.
