HVX: Plans to issue new shares

Vicem Hai Van Cement Joint Stock Company planned to issue new shares to the existing shareholders as follows:

-         Stock type: Common stock

-         Par value: VND10,000

-         Charter capital:  VND 185,000,000,000

-         Number of outstanding shares: 18,500,000 shares

-         Estimated issue volume: 21,460,000 shares

-         Total issued value:

+         Objects: the shareholders are in the list recorded

+         Exercise ratio: 100:116 (a shareholder owning 100 shares will get 116 new shares)

+         Issue price: VND10,000/share

-         Time of implementation: expected in Quarter 2.2013

-         Plan for fractional and undistributed shares: The distributed shares will be rounded down. The fractional shares which are less than 01 will be canceled.

For example: At the record date, shareholder Nguyen Van A owns 177 shares, the calculation will be: (177/100)x 116 = 205.32 shares. After rounding down, the number of dividend he receives will be 205 shares.

-         Total proceeds from the share issuing by 214,600,000,000 dongs will be used to buy back Ang Son II Cement Factory.

-         The new shares are transferable.

-         Issue date: after getting the License of the State Securities Commission of VietNam.
