The Board of Directors approved to transfer the capital of
18 billion dongs or 60%charter capital of Gia Dinh Gas Co, Ltd with transfer
price at 81,207,087,009 dongs.

The Board of Directors contributed to buy 8,130,000 new
shares in An Pha Petroleum Joint Stock Company with price VND10,000/share.

The Board of Directors assigned the CEO to sign a contract
of the transfer at Gia Dinh Gas Co., Ltd and a contract of buying new shares of
An Pha Petroleum Joint Stock Company.

The Board of Directors assigned Mr. Tran Minh Loan, BOD
Chairman cum CEO to represent the capital of 81,300,000,000 dongs and Mr. Le
Xuan Hoang, a member of the Board of Directors to represent the capital of
27,900,000,000 dongs in An Pha Petroleum Joint Stock Company (Ha Noi).
