In order to encourage
the role of the management and supervision of the BOD, Supervisory to achieve
the plan in 2013, the BOD, Supervisory, Management Board shall be reward 10% of
profit before tax and shall be extra-reward 30% of the excess in case of the profit
is more than VND 1 billion.

Dividend payment 2013:
Since the profit in plan 2013 is not enough for
dividend payment, the Company plans to issue bonus share to outstanding
shareholders to increase Charter Capital with the rate of 20%.

Selecting the Auditing Company for fiscal year 2013
Auditing and Accounting Financial Consultancy
Service Company Limited (AASC) is selected to be the Auditing Company for
fiscal year 2013.

Investment plan in 2013:
9.1 Investment
projects in 2013:
- Tu Son unburned material Factory: Total investment
of VND 102 billion with capacity of 150,000m3/year.
- Extending the size and the moving of Clay brick
Factory: Approving investment project, total investment to move Clay Brick
Factory and transferring of investment project, realizing investment procedure
in Thai Nguyen province where has material and labor resources for competitive
advantage.
9.2 Withdraw
all investment in Viglacera Clinker Brick JSC

Approving the replacement of members of the BOD and Supervisory Board
- Approving Mr. Dang Van Phuong resigning from
Director and Ms. Tran Thi Minh Loan from Chief of Supervisory Board.
- Approving the supplemental election of Mr. Nguyen
Ba Uan to be Director and Ms. Le Ngan Binh to be member of Supervisory Board.
