According to the resolution of Dai Thien Loc Corporation
will deliver capital in cash or asset that means the total value of investment
project in Song Than 3 Industrial Zone, Binh Duong province to Dai Thien Loc
Steel Co., Ltd. – a subsidiary of Dai Thien Loc Corporation. Therefore, Dai
Thien Loc Corporation agreed to contribute capital by some assets in Song Than
3 Industrial Zone, Binh Duong province, worth VND182 billion to Dai Thien Loc
Steel Co., Ltd. The assets include:

Land-use right at Land Lot No.299, Area: 105,285 m2, Song
Than 3 Industrial Zone, Phu Tan ward, Thu Dau Mot city, Binh Duong province.
The land-use right is valid from February 07, 2007 to December 31, 2055.

3,805.40 m2.

Workshop X1, X3: Number of floors: 01, Area: 34,994.58 m2.

The Board of Directors authorized CEO Nguyen Thanh Nghia to
be the legal representative of Dai Thien Loc Corporation.

The Board of Directors approved the capital increase of Dai
Thien Loc Steel Co., Ltd.

Registered charter capital: VND300 billion

Charter capital after change: VND482 billion.

The capital increase is made by receiving asset contribution
from the parent company.

The Board of Directors approved to adjust Article 7 of the
Articles of Association of Dai Thien Loc Steel Co., Ltd.
