TAS: Results of Annual General Meeting of Shareholders 2012
Trang An securities joint stock company has disclosed the results of its Annual General Meeting of Shareholders held on 22/04/2012. The following resolutions were approved:
1. Operating Result of 2011:
- Revenue: VND7,469,824,482
- Profit before tax: -66,763,108,109
2. Reports of the BOD and Supervisory Board in 2011.
3. Approving no funds are set up and no dividend is paid for 2011 to supplement working capital.
4. Operating Plan in 2012.
5. Plan of private placement with strategic partners to increase charter capital:
- Charter capital after the issue: VND300billion
- Price issue: not lower than par value.
- Stock type: stock under transfer restriction within 1 year since the issue date.
6. Election of members for the BOD and Supervisory Board as follows:
The BOD:
- Yang Xiao Dong
- Mr. Tran Trong Nghia
- Mr. Le Tran Trung
- Ms. Doan Thi Huong Giang
Supervisory Board:
- Ms. Nguyen Bich Diep
- Ms. Do Thu An
- Ms. Tran Thi Kim Dung
7. Remuneration for the BOD, Supervisory Board 2011 and Plan in 2012:
· In 2011:
- Remuneration for the BOD: VND276,000,000
- Remuneration for Supervisory Board: VND120,000,000
· In 2012:
- Remuneration for the BOD: VND276,000,000
- Remuneration for Supervisory Board: VND120,000,000
8. The BOD is authorized to select auditor for Financial Statement 2012.
The BOD is responsible for carrying out these tasks.
