HDC: Resolution on the second dividend payment of 2011

Ba Ria - Vung Tau House Development Joint Stock Company (HODECO) announced the resolution of the Board of Directors on issuing shares to the second dividend payment for the year 2011 as follows:

          - Stock type : Common stock

- Par value : VND10,000

- Total outstanding share: 23,398,931 shares.

- Exercise ratio: 15% (A shareholder owning 100 shares will receive 15 shares)

- The volume receive will be rounded to units. The fractional (if any) will be bought back by the company with VND10,000/share.

For example, at the record date, shareholder Nguyen Van A currently owns 323 shares, the calculation as follows: The number of shares distributed in theory: 323 shares × 15% = 48.45 shares. The number of shares in practice: 48 shares and VND4,500 (= 0.45 ´ VND10,000).

- Purpose of the issuing shares to pay the second dividend of 2011:

+ Estimated issue volume will be a dividend: 3,509,839 shares

+ After issue shares for the second dividend of 2011, the capital will be increased: 3,509,839 x 10,000 = 35,098,390,000 dongs

- Purpose use of funds: increase the company’s charter capital and additional funds

- The effective date of the resolution is April 25, 2011.
