SAIGON HOTEL CORPORATION announces Board Resolution approved on 17/04/2012 as follows:

1. Approving the operating results of 2011:

- Total revenue: VND26,747,294,481 equalling 101% compared to plan

- Profit before tax: VND12,697,350,863 equalling an increase of 13.37% compared to plan

- Profit after tax: VND10,501,527,712 equalling an increase of 25.02% compared to plan

2. Annual General Meeting of Shareholders 2011:

- Expected exercise date: 27/04/2012

- Place: Emperor Room, Sai Gon Hotel, 41-47 Dong Du, District 1, Hochiminh City 3.Offering to outstanding shareholders:

- Agenda:

+  Dividend of 2011: 20% of charter capital

+  Plan of 2012:

1.  Revenue: VND28.2 billion
2.  Operating income: VND9.9 billion
3.  Expected dividend: 10% (VND1,000 per share)

+ Remuneration for the BOD and Supervisory Board 2011

+  Profit distribution 2011 and 2012

+  Selecting auditor for 2012

+  Upgrading and reparing the hotel: Quarter II/2013 instead of previous announcement. Reason: supplementing license documents.
