CMS: Board Resolution

 Cavico Construction Manpower and Services JSC announce Board Resolution approved on 28/03/2012 as follows:

 1. Purchasing shares of founding shareholders of CMS Thanh Dong Joint Stock Company
-Number of shares of CMS Thanh Dong Joint Stock Company hold by Cavico Construction Manpower and Services JSC is 765,000 shares, equivalent to VND 7,650,000,000 par value, accounting for 51% of CMS Thanh Dong JSC’s charter capital.
- Cavico Construction Manpower and Services JSC decided to purchase 150,000 shares of CMS Thanh Dong JSC hold by Mr. Nguyen Van Hung, a founding shareholder of CMS Thanh Dong JSC.
- After the purchase, Cavico Construction Manpower and Services JSC will own 915,000 shares equaling VND 9,150,000,000 par value, accounting for 61 % of charter capital of CMS Thanh Dong JSC.
- Resources for purchasing shares is business capital of Cavico Construction Manpower and Services JSC.
2. Mr. Pham Minh Phuc has been appointed representative for capital of Cavico Construction Manpower and Services JSC in CMS Thanh Dong JSC.
