CAD: Resolution of the BOD

Cadovimex Seafood Import-Export And Processing Joint Stock Company (CADOVIMEX – VIET NAM) announced the resolution of the Board of Directors dated February 09, 2012:

Article 1: The Board of Directors approved to receive documents from Former CEO Tang Gia Phong and transfer them to CEO Tran Hoang Giang according to the minutes dated February 09, 2012.

Article 2: The Board of Directors guided to check assets mortgaged in banks in order not to overlap, and check the sale proceeds of US$500,000 between Cadovimex – Viet Nam and Cadovusa.

Article 3: The Board of Directors approved to hire lawyers to collect a debt from sale proceeds which Thanh An Company has not paid to Cadovimex – Viet Nam.

Article 4: The Board of Directors assigned Mr. Nguyen Ngoc Thanh to edit documents responding to Amanda Company to negotiate a penalty because Ms. Pham Thi Huong, Former CEO, signed a contract but did not deliver enough products.

Article 5: The Board of Directors approved to choose March 30, 2012 as the record date for the list of shareholders to organize the 2011 Annual General Meeting of Shareholders in Nam Long Seafood Export Processing Enterprise.
