HHL: Results of Annual General Meeting of Shareholders 2011
Hong Ha – Long An JSC (HNX: HHL) has disclosed the results of its Annual General Meeting of Shareholders held on 15/07/2011. The following resolutions were approved:
1. Audited financial statement 2010 by AASCS. Board of Director is authorized to select Auditor 2011
2. Report on operating results of 2010 and plan 2011
- Operating results of 2010:
+ Revenue: VND 99,844,085,149
+ Profit after tax: VND 167,228,219
- Plan 2011:
+ Revenue: VND 125 billion
+ Profit: VND 2.637540 billion
+ Dividend payment: 10%
3. Plan of profit distribution, setting up funds and dividend payment
- Total profit before tax: VND 213,708,362
- Total profit after tax: VND 167,228,219
- Due to the business in 2010 is not effective so the company will not be dividend payment
4. Activities report of BOD
5. Activities report of Supervisory Board
6. Report on remuneration for BOD and Supervisory Board 2010, plan of remuneration 2011
- Remuneration for BOD and Supervisory Board: VND 215.500 million
- Plan of remuneration for BOD and Supervisory Board: 0.2% of total revenue
- BOD is authorized to decide rate of payment for member
7. Election of additional members for Supervisory Board in term 2011- 2015
- Supervisory Board:
+ Mr. Vu Xuan Manh
+ Mr. Nguyen Huu Hieu
8. To supplement additional contents of article 22, terms 4 in charter of the company.
