DAE: Results of AGM of Shareholders 2011
Educational Book Joint Stock Company (HNX: DAE) in Da Nang City has disclosed the results of its Annual General Meeting (AGM) of Shareholders held on 9/4/2011. The following resolutions were approved:
1. Agreed on Report on Operating result of 2010, profit distribution plan, remuneration to the BOD and Supervisory Board, dividend payment as follow:
- Revenue: VND 54,571,458,969
- Profit before tax: VND 5,298,119,921
- Profit after tax: VND 4,017,353,766
- Remuneration to the BOD, Supervisory Board: VND 200 mil
- Dividend payout ratio: 15%: VND 2,248,020,000
+ Financial reserve fund (5%): VND 200,867,688
+ Charter capital supplement fund: VND 200,867,688
+ Reward to Management Board: VND 200,867,688
+ Reward and welfare fund (13%): VND 522,255,990
2. Plan in 2011
- Revenue: VND 58 bil
- Profit before tax: VND 5 bil
- Dividend payout ratio: 15%
- Remuneration to BOD, SB: 5% of profit after tax
3. Assigning AAC as auditor for auditing the Company’s 2011 financial statement
4. Change in Supervisory Board:
- Mr. Tran Thanh Thuan has resigned from Member of SB
- Ms. Dang Thi Trang has been appointed Member of SB.
