PVV: Results of Annual General Meeting of Shareholders 2010
Vinaconex - PVC Construction Investment JSC has disclosed the results of its Annual General Meeting of Shareholders held on 25/8/2010. The following resolutions were approved:
1. Charter capital increase Plan from VND 50 bil to VND 300 bil as follow:
a. Seasoned issue to outstanding shareholders:
- Total volume of shares to be issued: 10,000,000 shares
- Total par value of shares to be issued: VND 100 bil
- Exercise rate: 1 : 2 (Shareholders are entitled to buy 02 new shares for every 01 share they own).
- Offering price: VND 10,000/share
b. Issuance to strategic partners
- Total volume of shares to be issued: 15,000,000 shares
- Offering price: VND 11,000 /share
- Transfer restriction within 01 year since the completion date of the issuance
2. Plan of using the proceeds:
- Expected total proceeds: VND 265 bil to be invested in investment projects, acquisition of fixed assets and supplement working capital
3. Authorized the BOD to amend of the company’s charter in accordance with new charter, determine of odd shares and share unsold, seletion of advisory for the issuance.
4. Depository and listing of additional shares.
5. Change in Business Registration Certificate:
- Old address: Floor 10, CT3-3 building, Me Tri Ha Urban Quarter, Tu Liem district, Hanoi
- New address: Floor 12, Vinanconex Building, HH2 Lot, Me Tri Ha Urban Quarter, Pham Hung Street, Tu Liem District, Hanoi
- Old registered charter capital: VND 50 bil
- Expected new charter capital: VND 300 bil.
