SMC: Resolution on a new share issue

The Board of Directors of SMC Investment - Trading Joint Stock Company unanimously approved the followings:

Article 1: Plan of a new share issue:

* Issue method: Via a public auction

* Issue volume: 6,041,814 shares (Equivalent to VND60,418,140,000)

* Minimum bidding volume: 100,000 shares

* Beginning price: VND23,000/share (Equal to the book value at March 31, 2010)

* The new shares are transferable.

* Time of implementation: After the State Securities Commission grants a license.

* Consulting company: Viet Capital Securities Joint Stock Company

Article 2: This resolution takes effect from June 28th, 2010.
