SDH: Results of Annual General Meeting of Shareholders 2010
Song Da Infrastructure Construction JSC has disclosed the results of its Annual General Meeting of Shareholders held on 22/4/2010. The following resolutions were approved:
1. Report of Operating result of 2009
- Revenue: VND 164.61 bil
- Profit before tax: VND 22.35 bil
- Profit after tax: VND 17.68 bil
- Payment to State budget: VND 12.89 bil
2. Plan in 2010
- Revenue: VND 500 bil
- Profit before tax: VND 70 bil
- Payment to State budget: VND 37.4 bil
- Expected Dividend payout ratio: 15-17% of charter capital
3. Direction for the develop of the company in 2010 and period 2010 – 2014
4. Activities report of the BOD in 2009 and plan for 2010
5. Activities report of the Supervisory Board in 2009 and plan for 2010
6. Payment for Board of Directors and Supervisory Board in 2009 and plan for 2010
7. Profit distribution plan, dividend payout ratio of 2009, management expenses in 2010:
+ Dividend payment (16% of charter capital): VND 8.65 bil, expected exercise date: from 15/6 to 20/6/2010
+ Financial reserve fund (5% of profit after tax): VND 1.7 bil
+ Development Investment fund: VND 4.89 bil
+ Reward fund: VND 854 mil
+ Welfare fund: VND 1.1 bil
+ Management expenses: 3.1%/ total output of 2010.
8. Assigning the Board of Directors to make investment, cooperation and finding investment opportunities:
- Quoc Tuan - An Binh Industrial Zone, Nam Sach, Hai Duong Province
- Office building and senior residental house project in Phu My, My Dinh, Tu Liem, Hanoi
- Housing project in Bac Ninh Province
- Office building and housing project in Le Duc Tho Street, Hanoi
- Housing project cooperate with Tan Mai Paper Company
- Investment projects in construction of urban area, house and office building.
9. Change of Chief of Supervisory Board:
- Mr. Nguyen Cong Thanh has resigned from Chief of Supervisory Board
- Ms. Tran Thi Chung has been appointed Chief of Supervisory Board

10. Shareholders purchase houses in investment projects of SDH if holding more than 50,000 shares enjoy a prefered price of 98% of price at Real estate trading floor.
