MSN: Resolution of the Board of Directors

Ma San Group Corporation announced the resolution of the Board of Directors:

Article 1: Approving the Company to buy and restructure Nui Phao Minerals Exploration and Processing Joint-venture Co., Ltd. (*) (Nuiphaovica Project), including transactions below:

* Company and/or subsidiary buy capital contribution in Nui Phao Minerals Exploration and Processing Joint-venture Co., Ltd.;

* Company and/or subsidiary buy loans of Nui Phao Minerals Exploration and Processing Joint-venture Co., Ltd.;

* Company buys new subsidiary to implement Nuiphaovica Project; and

* All other transaction of Company or/and subsidiary to implement Nuiphaovica Project.

Article 2: Authorizing Mr. Nguyen Dang Quang, BOD Chairman, or Mr. Madhur Maini, CEO:

negotiate and decide all conditions and provisions of transactions in Nuiphaovica Project;

decided, sign, hand over and implement all contracts/ agreement and relating documents; and implement all necessary works to carry out Nuiphaovica Project.

Article 3: This resolution takes effect from April 29, 2010.
