VST: The BOD’s resolution

Vietnam Sea Transport and Chartering Joint Stock Company (VITRANSCHART JSC.) has announced the BOD’s resolution as follows:

Article 1: Approving items to submit to the 2010 annual shareholders’ meeting on April 16, 2010:

* The 2009 business results

* The 2009 audited financial statements

* The 2009 profit distribution and the 2010 plan

* The 2010 business plan

* Plan of dividend payment and additional issue to increase charter capital in 2010:

+ Paying dividend in shares to the existing shareholders with ratio 100:18 (A shareholder owning 100 shares will receive 18 new shares)

+ Issuing 12,000,000 shares to the existing shareholders at par value

* Suggesting compensations and bonus for the BOD and the Supervisory Board in 2010

* Reports of the Supervisory Board and suggesting audit firms in 2010

Article 2: The resolution is valid as from April 01, 2010.
