SSI: Resolution on a bonus share issue
Sai Gon Securities Incorporation announced the resolution of the Board of Directors as follows:
Article 1: Approving the plan of issuing bonus shares to the existing shareholders:
- Current charter capital: VND1,755,558,710,000.
- Stock type: Common stock
- Par value: VND10,000/share
- Total current share volume: 175,555,871 shares
- Total current outstanding: 175,555,871 shares
- Object: Shareholders whose names are in the list to receive bonus shares on the record date.
- Exercise rate: 1:1. Each shareholder owning 01 share will receive 01 right, and every right will receive 01 bonus share.
- Total expected issue volume: 175,555,871 shares
- Financial resource: From capital surplus at December 31, 2008
- The right to receive bonus shares is not transferable.
- The bonus shares are transferable.
- Charter capital after issuing: VND3,511,117,420,000.
- Purpose: To increase charter capital and restructure the Company’s capital.
- Issue time: After the State Securities Commission receives enough documents, expected in March 2010.
Article 2: Raising the charter capital
SSI will raise its charter capital from VND1,755,558,710,000 to VND3,511,117,420,000.
Article 3: Adjusting the Company’s Regulations:
SSI’s Regulations will be adjusted with the new charter capital.
Article 4: This resolution takes effect from March 3, 2010.
