SAP: Board Resolution

Textbook Printing JSC In Hochiminh City announces the Board Resolution approved on 3/3/2010 as follows:

1. Operating results of 2009, revenue is VND 30,053,827,404 (100% of plan), net income is VND 2,082,145,860 (104% of plan), increased 31% compared to 2008.

Profit distribution plan: VND 1,829,163,517

- Dividend payout ratio 2009 (10%): VND 1,286,984,000

- Operating development Fund:  VND 326,847,178

- BOD bonus Fund (5%(Profit after tax-Operating Development Fund)): VND 75,115,816

- Appropriation for other funds: VND 140,216,523

- Second dividend payment of 2009: 5%

2. Operating plan of 2010: Revenue is VND 31 bil, net income is VND 2.1 bil, dividend payout ratio is 10%.         

3. Annual General Meeting of Shareholders 210 in April, 2010. Agenda of the meeting:

- Report on operating results, profit distribution plan of 2009, operating plan of 2010.

- Report of BOD, Supervisory Board.

4. Assigned Mr. Pham Van Thien in position of Deputy Manager.

5. Agreed on operating report of the first two months of 2010 and expected results of the first 03 months of 2010.

Agreed on the proposal of Manager on the split up and strengthen departments.
