PPG: Results of Extraordinary General Meeting of Shareholders 2010
Phu Phong Corporation has disclosed the results of its Extraordinary General Meeting of Shareholders held on 26/02/2010. The following resolutions were approved:
1. Seasoned issue to outstanding shareholders
a. Bonus share issue to outstanding shareholders
- Total offerred volume: 600,000 shares
- Par value: VND 10,000/ share
- Exercise rate: 20 : 3 (Shareholders are entitled to buy 3 new share for every 20 shares they own. The number of shares issued is rounded down to unit digit. The odd shares will be determined by the Board of Directors in terms of price and subject of the offering.).
b. Seasoned issue to outstanding shareholders
- Total offerred volume: 2,000,000 shares
- Subject of the placement: Shareholders named in registered list at record date
- Offering price: Decided by the BOD.
- The odd shares and shares unsold will be determined by the Board of Directors in terms of price and subject of the offering.
c. Seasoned issue to strategic shareholders
- Total offerred volume: 1,200,000 shares
- Subject of the placement: Shareholders with strong financial capability
- Placement method: Private placement
- Offering price: Decided by the BOD.
d. Placement to employees
- Total offerred volume: 200,000 shares
- Subject of the placement: Employees
- BOD is authorized to implement necessary procedures in the placement to employees.
2. BOD is authorized to carry out placement plan in pursuant to securities law and regulations.
3. Additional listing of 4,000,000 shares after complete the issuance to increase the company’s charter capital.
4. Transfer of the listing of PPG from HNX to HOSE.
