SPP: Board Resolution
Saigon Plastic Packaging JSC announces the Board Resolution approved on 13/10/2009 as follows
I. Dividend payment 2009: 25%
II. For a ballot on following issues:
1. Increase in charter capital from VND 35 bil. to VND 90 bil.
- Purpose: Supplementing working capital, investment capital, meeting the requirement of listing on HOSE
- Type of stock: Common stock
- Par value: VND 10,000/share
- Volume of shares to be issued: 5,500,000
- Par value of shares to be issued: VND 55 bil.
- Issuing method:
a) Private placement to increase charter capital from VND 35 bil to VND 60 bil.
+ Volume to be issued: 2,500,000 shares
+ Value to be issued: VND 25 bil.
+ Price: no less than VND 20,000/share
b) Issuing bonus shares for outstanding shareholders, rate: 2:1
+ Volume to be issued: 3,000,000 shares
+ Value to be issued: VND 30 bil.
+ Subject: Outstanding shareholders on record date
+ Exercise rate: 2:1
+ Resource: Share premium and retained earning
2. Moving the listing of shares on HNX to HOSE
3. Bonus for BOD and Management board in case the profit exceeds the planned profit: 15% of excessive profit
4. Change in Member of Supervisory Board and chief accountant
+ Mr. Le Duyen Anh has been voted Member of Supervisory Board in place of Ms. Nguyen Thi Mai Trang.
+ Mr. Pham Tien Dong, Vice Chief accountant, will hold Chief accountant in place of Ms. Nguyen Thi Thanh Son.
