III. Adjustment of share issue plan to increase charter capital 2009:
The share issue plan was approved by annual general meeting of shareholders 2009 to increase the charter capital from VND 15 bil. to VND 22.5 bil, now adjusted as follows:
1. Plan to increase charter capital: Private placement with outstanding shareholders, staff of the company and public offering
- Name of the issuer: Song Da No.19 JSC
- Stock code: SJM
- Stock type: Common stock.
- Par value: VND 10,000.
- Total volume of shares to be offered: 3,500,000 shares
- Total value of shares to be offered par value: VND 35 bil.
- Offering method: Private placement with outstanding shareholders, staff of the company and public offering, of which:
- Placing 1,500,000 shares with outstanding shareholders; rate 1:1; price: VND10,000/share. The record date will be decided by the Board of Director. Number of share purchase rights will be rounded down to unit digit. Odd lot shares and undistributed shares will be decided by the Board of Directors at price no less than to be placed with outstanding shareholders.
- Placing 75,000 shares for the staff of Song Da No.19 JSC price: VND10,000/share. The Board of directors is authorized to approve detailed plan (including criteria, eligibilities, and list of employees basing on a proposal of the manager.) Undistributed shares will be decided by the Board of Directors at price no less than to be placed with the staff.
- Public offering: 1,925,000 shares. Starting price will be decided by the Board of Directors however, not less than market price at the offering time or book value as of 31/12/2008 (VND 12,300/share). Place: HNX. Undistributed shares will be decided by the Board of Directors at price no less than average winning price.
- Time for issuing, registration and payment: assigning to the Board of Directors to decide.
- Restriction: additional shares are free for transfer.
- Estimated proceeds of the issue: VND 39.427 bil.
- Purpose for the proceeds use:
+ Investment in the adjusted investment plan: VND 36.5 bil.
+ Supplementing to working capital and investment in 12 Ho Xuan Huong project: VND 2.927 bil.
